  一、公司基本(ben)情况:

  远(yuan)程电(dian)缆股份有(you)限公司(si)创建于2001年,位于在(zai)电(dian)线(xian)电(dian)缆行业中(zhong)有(you)重要影响的(de)“中(zhong)国(guo)电(dian)缆城”之称的(de)江苏省(sheng)宜(yi)兴(xing)市官林镇,公司(si)注册资本71,814.6万(wan)元,是专业从事电(dian)线(xian)电(dian)缆设计开发、生产、销售与服务(wu)的(de)高新(xin)技(ji)术企业,拥有(you)省(sheng)级工程技(ji)术研究中(zhong)心(xin)。

  公司(si)(si)的主要产品为500kV 及以下电(dian)压(ya)等级电(dian)力电(dian)缆(lan)、特种电(dian)缆(lan)、裸导线(xian)、电(dian)气装备用电(dian)线(xian)电(dian)缆(lan)四(si)大类(lei)。公司(si)(si)产品通过了ISO9001:2015质(zhi)量(liang)管(guan)(guan)理体(ti)系(xi)认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、ISO14001:2015环境管(guan)(guan)理体(ti)系(xi)认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、ISO45001:2018职(zhi)业健康安全管(guan)(guan)理体(ti)系(xi)认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng),ISO10012:2003优(you)秀测量(liang)管(guan)(guan)理体(ti)系(xi)认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng),并(bing)获得(de)了国家(jia)强制(zhi)性(xing)产品CCC认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)证(zheng)(zheng)书、PCCC电(dian)能产品认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)证(zheng)(zheng)书、民用核(he)安全设备设计(ji)和制(zhi)造许(xu)可证(zheng)(zheng),南非SABS认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、美国UL认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、荷兰KEMA认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、欧盟CE认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、环保ROHS认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、莱茵TUV认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng)、澳大利亚SAA认(ren)(ren)(ren)(ren)(ren)证(zheng)(zheng),公司(si)(si)产品质(zhi)量(liang)得(de)到了客户(hu)的广(guang)泛认(ren)(ren)(ren)(ren)(ren)可。

  1、完(wan)善公司治理(li)结构。

  2020年,公(gong)(gong)(gong)司(si)严(yan)格(ge)按(an)照(zhao)《公(gong)(gong)(gong)司(si)法(fa)》、《证(zheng)券法(fa)》、《上市公(gong)(gong)(gong)司(si)治理准(zhun)则》和中(zhong)国(guo)证(zheng)监(jian)会(hui)(hui)(hui)、深(shen)圳(zhen)证(zheng)券交易(yi)所(suo)颁(ban)布的(de)(de)(de)有关法(fa)律法(fa)规(gui)(gui)的(de)(de)(de)要(yao)求(qiu),不断完(wan)善公(gong)(gong)(gong)司(si)法(fa)人(ren)治理结构,股(gu)东大(da)会(hui)(hui)(hui)、董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)和监(jian)事(shi)(shi)(shi)会(hui)(hui)(hui)运作规(gui)(gui)范,独立(li)董(dong)事(shi)(shi)(shi)、董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)各(ge)专门(men)委员(yuan)会(hui)(hui)(hui)各(ge)司(si)其职(zhi),截止(zhi)2020年12月(yue)31日(ri),公(gong)(gong)(gong)司(si)共(gong)召开(kai)4次股(gu)东大(da)会(hui)(hui)(hui),其中(zhong)年度(du)股(gu)东大(da)会(hui)(hui)(hui)1次,临(lin)时股(gu)东大(da)会(hui)(hui)(hui)3次。2020年,公(gong)(gong)(gong)司(si)共(gong)召开(kai)7次董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)、4次监(jian)事(shi)(shi)(shi)会(hui)(hui)(hui)。同时公(gong)(gong)(gong)司(si)高度(du)重视发挥董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)专门(men)委员(yuan)会(hui)(hui)(hui)的(de)(de)(de)作用,公(gong)(gong)(gong)司(si)董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)各(ge)专门(men)委员(yuan)会(hui)(hui)(hui)按(an)照(zhao)《公(gong)(gong)(gong)司(si)章程》和董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)各(ge)专门(men)委员(yuan)会(hui)(hui)(hui)工作规(gui)(gui)则的(de)(de)(de)规(gui)(gui)定行使(shi)职(zhi)权。公(gong)(gong)(gong)司(si)管理层严(yan)格(ge)按(an)照(zhao)法(fa)律法(fa)规(gui)(gui)及董(dong)事(shi)(shi)(shi)会(hui)(hui)(hui)的(de)(de)(de)授权,依(yi)法(fa)合规(gui)(gui)经营,努力实现股(gu)东权益和社会(hui)(hui)(hui)利(li)益的(de)(de)(de)最大(da)化。

  2、积极(ji)开展(zhan)投资者关系管(guan)理。

  为强(qiang)化中(zhong)小投(tou)(tou)资(zi)(zi)者(zhe)(zhe)保护机制(zhi),公(gong)司制(zhi)定(ding)了投(tou)(tou)资(zi)(zi)者(zhe)(zhe)关(guan)系(xi)管(guan)理制(zhi)度,2020年,公(gong)司积极(ji)通过投(tou)(tou)资(zi)(zi)者(zhe)(zhe)关(guan)系(xi)互(hu)(hu)动平台、网上业(ye)绩说明会(hui)、接听投(tou)(tou)资(zi)(zi)者(zhe)(zhe)电话(hua)等(deng)方式(shi),积极(ji)主动地(di)与(yu)中(zhong)小投(tou)(tou)资(zi)(zi)者(zhe)(zhe)进行良好的(de)互(hu)(hu)动和交流,对(dui)投(tou)(tou)资(zi)(zi)者(zhe)(zhe)各种问(wen)(wen)题(ti)(ti)给予耐心细(xi)致的(de)回复,在互(hu)(hu)动易平台上认真及(ji)时地(di)对(dui)投(tou)(tou)资(zi)(zi)者(zhe)(zhe)提(ti)问(wen)(wen)的(de)问(wen)(wen)题(ti)(ti)进行回复,增加公(gong)司运作的(de)透明度,以利于公(gong)司股东(dong)特(te)别(bie)是广大中(zhong)小股东(dong)及(ji)时了解公(gong)司经营动态(tai)、财务状(zhuang)况(kuang)及(ji)重大事项的(de)进展(zhan)情况(kuang)。

  3、做(zuo)好信息披(pi)露工作,强化信息披(pi)露质量(liang)。

  2020年(nian),公(gong)司严格(ge)按照(zhao)相(xiang)(xiang)关(guan)法律(lv)法规(gui)的(de)规(gui)定和(he)要求自觉自愿履行信(xin)息披露义务,确保信(xin)息披露的(de)真实、准确、及时、完整,增强信(xin)息披露的(de)有(you)效性(xing)。2020年(nian),公(gong)司在(zai)指定信(xin)息披露媒体上发布的(de)公(gong)告(gao)包括:年(nian)度、半(ban)年(nian)度、季(ji)度报告(gao)和(he)相(xiang)(xiang)关(guan)文件,股东大会、董事会等相(xiang)(xiang)关(guan)公(gong)告(gao),不(bu)存在(zai)违反信(xin)息公(gong)平(ping)披露情形。

  (二)对职工的权益保护

  1、依(yi)法保护(hu)职工权益(yi)

  公(gong)(gong)司始终坚(jian)持(chi)以人为(wei)本的(de)核心价值(zhi)观,严(yan)格遵守《劳(lao)动法》、《劳(lao)动合同法》、《女(nv)职工(gong)劳(lao)动保(bao)(bao)护(hu)特别规(gui)定》等法律(lv)法规(gui)的(de)要求,坚(jian)持(chi)平等自愿、协(xie)商一致的(de)原则与所有(you)员(yuan)(yuan)工(gong)签订《劳(lao)动合同》,劳(lao)动合同的(de)订立(li)、履行、变更、解除或(huo)终止都(dou)严(yan)格按(an)照(zhao)国家法律(lv)、法规(gui)规(gui)定的(de)程序办理。公(gong)(gong)司按(an)照(zhao)国家及公(gong)(gong)司所在地主管(guan)部(bu)门的(de)规(gui)定,积极(ji)为(wei)企业(ye)员(yuan)(yuan)工(gong)缴(jiao)纳医疗(liao)保(bao)(bao)险(xian)(xian)(xian)金(jin)(jin)(jin)、养老(lao)保(bao)(bao)险(xian)(xian)(xian)金(jin)(jin)(jin)、失业(ye)保(bao)(bao)险(xian)(xian)(xian)金(jin)(jin)(jin)、工(gong)伤保(bao)(bao)险(xian)(xian)(xian)金(jin)(jin)(jin)、生育保(bao)(bao)险(xian)(xian)(xian)金(jin)(jin)(jin)和住房公(gong)(gong)积金(jin)(jin)(jin),同时根(gen)据(ju)有(you)关规(gui)定,结合公(gong)(gong)司实际情(qing)况,建(jian)立(li)公(gong)(gong)司员(yuan)(yuan)工(gong)考(kao)勤与劳(lao)动纪律(lv)管(guan)理标(biao)准(zhun)和各种假期管(guan)理制度,在制度上保(bao)(bao)障了员(yuan)(yuan)工(gong)休息、休假权(quan)益。

  除此之外(wai),公司积极支(zhi)持工(gong)(gong)(gong)会(hui)依法开(kai)展(zhan)工(gong)(gong)(gong)作(zuo),对工(gong)(gong)(gong)资、福利(li)、劳(lao)动安(an)全(quan)卫生等涉及职工(gong)(gong)(gong)切(qie)身利(li)益的事(shi)项,通(tong)过职工(gong)(gong)(gong)代表大会(hui)、工(gong)(gong)(gong)会(hui)会(hui)议(yi)等民主形(xing)式听取职工(gong)(gong)(gong)的意见,关心(xin)和重(zhong)视职工(gong)(gong)(gong)的合理需求(qiu)。

  2、积(ji)极抗疫,复(fu)工复(fu)产(chan)

  面对2020年初突如其来的(de)新冠疫情,公(gong)(gong)司(si)把全(quan)体(ti)(ti)员工(gong)(gong)(gong)的(de)安(an)全(quan)和健康(kang)放在(zai)首要位(wei)置(zhi),积极响(xiang)应国(guo)家(jia)防控(kong)工(gong)(gong)(gong)作部署要求,采取(qu)一系列防范措施。接到(dao)政府通知后,公(gong)(gong)司(si)第一时间成(cheng)立疫情防控(kong)工(gong)(gong)(gong)作小组(zu),建立相关疫情防控(kong)机制,并(bing)保(bao)(bao)持对疫情的(de)关注,根据疫情变化调整(zheng)返岗(gang)时间,并(bing)陆续实行(xing)在(zai)家(jia)办公(gong)(gong)、隔离观察(cha)制等措施,及时了解员工(gong)(gong)(gong)的(de)身体(ti)(ti)健康(kang)状况,以提(ti)供尽(jin)可能的(de)帮助(zhu)。复工(gong)(gong)(gong)后,为切实保(bao)(bao)障员工(gong)(gong)(gong)身体(ti)(ti)健康(kang),公(gong)(gong)司(si)给全(quan)体(ti)(ti)员工(gong)(gong)(gong)免费发放口罩等防疫物资,做好厂区(qu)(qu)和办公(gong)(gong)区(qu)(qu)各个区(qu)(qu)域的(de)每(mei)日消(xiao)毒(du)杀菌工(gong)(gong)(gong)作,并(bing)在(zai)食堂实行(xing)分(fen)批分(fen)时就餐(can)、每(mei)日套餐(can)制、“高考式”座(zuo)位(wei)排(pai)布等措施,尽(jin)最大力(li)度减少感染(ran)风险(xian),为每(mei)一位(wei)员工(gong)(gong)(gong)创(chuang)造安(an)全(quan)、健康(kang)的(de)办公(gong)(gong)生活环境。

  (三)积极推进环(huan)境(jing)保护工(gong)作

  1、重(zhong)视企业员工环(huan)境保护意识的培养(yang)。

  公司(si)重视环(huan)境(jing)(jing)保护、节(jie)能(neng)绿色(se)减(jian)(jian)排(pai)管理工(gong)作(zuo),国家发布的环(huan)境(jing)(jing)保护法(fa)律法(fa)规及时传达组(zu)织员工(gong)学习,开(kai)展(zhan)环(huan)保宣(xuan)传工(gong)作(zuo)提高员工(gong)的环(huan)境(jing)(jing)保护意识,组(zu)织并通过清(qing)洁生产审核。公司(si)通过各种形式(shi)传播和贯彻环(huan)境(jing)(jing)保护、节(jie)能(neng)减(jian)(jian)排(pai)的理念。

  2、遵守国家环保法律(lv)法规(gui),建立公司环保管理制(zhi)度和应(ying)急预案。

  公(gong)司生(sheng)产(chan)经营活动严格准(zhun)(zhun)守国家环(huan)保(bao)法(fa)律(lv)法(fa)规(gui)(gui),根(gen)据公(gong)司环(huan)保(bao)管理(li)实际情况(kuang)和(he)需求,制订(ding)了《环(huan)保(bao)管理(li)标准(zhun)(zhun)》、《环(huan)境突发事(shi)故应急案(an)》、《废(fei)旧物资(zi)与废(fei)弃物资(zi)处置管理(li)标准(zhun)(zhun)》、《危险废(fei)物规(gui)(gui)范化管理(li)规(gui)(gui)定》等(deng)管理(li)制度(du),现有制度(du)能够满足目前生(sheng)产(chan)经营过程环(huan)保(bao)工作要求。

  3、环境保护管理与治理。

  在日常生产(chan)经营过(guo)程中,严格(ge)履行环(huan)保责任,按要求(qiu)进(jin)行环(huan)境(jing)管理与(yu)防治工(gong)(gong)作。在公(gong)(gong)司内部改(gai)善工(gong)(gong)作流程,引入电子办公(gong)(gong)平台,推出绿色无纸化办公(gong)(gong)。公(gong)(gong)司积极应用(yong)节能(neng)新(xin)技术(shu)和新(xin)工(gong)(gong)艺,不断(duan)加大节能(neng)技改(gai)、淘汰(tai)落后、清洁生产(chan)和资源(yuan)循环(huan)综(zong)合利用(yong)力(li)度,节能(neng)工(gong)(gong)作的成效显(xian)著。在日常生产(chan)过(guo)程中,公(gong)(gong)司严格(ge)按国家环(huan)保要求(qiu)操作,最大限度地减少企业对环(huan)境(jing)的不良影(ying)响。

  (四)供应商(shang)、客户的(de)权益保护

  公(gong)(gong)司(si)秉承着诚(cheng)信(xin)合(he)作共赢的(de)商(shang)(shang)业(ye)理(li)念,与供(gong)(gong)应商(shang)(shang)、客(ke)(ke)户和(he)(he)消(xiao)(xiao)费(fei)者(zhe)建立了良好的(de)社(she)会(hui)关系(xi)。依照公(gong)(gong)司(si)采(cai)购(gou)管(guan)理(li)制度(du),按照公(gong)(gong)开、公(gong)(gong)正、公(gong)(gong)平(ping)的(de)原则开展采(cai)购(gou)招标业(ye)务,严格(ge)筛选供(gong)(gong)应商(shang)(shang)资质,严格(ge)遵(zun)守(shou)并履(lv)行合(he)同约定,保(bao)护(hu)供(gong)(gong)应商(shang)(shang)及(ji)客(ke)(ke)户的(de)商(shang)(shang)标权(quan)、专利(li)权(quan)等(deng)知识产(chan)权(quan)和(he)(he)商(shang)(shang)业(ye)机密,充分(fen)尊重并维(wei)护(hu)供(gong)(gong)应商(shang)(shang)和(he)(he)客(ke)(ke)户的(de)合(he)法权(quan)益。同时(shi)公(gong)(gong)司(si)本着对(dui)客(ke)(ke)户负责(ze)的(de)态度(du),健全(quan)完(wan)善质量管(guan)理(li)体系(xi),了解客(ke)(ke)户和(he)(he)消(xiao)(xiao)费(fei)者(zhe)的(de)需求,提高客(ke)(ke)户和(he)(he)消(xiao)(xiao)费(fei)者(zhe)对(dui)产(chan)品的(de)满意度(du)。

  三、履(lv)行社会责任的自我评估

  (1)义务(wu)献血

 
 

  自(zi)《中华人(ren)民共和(he)国献血(xue)(xue)法》颁布实施以来,公司领导高度重视,采取多种方式广泛开展(zhan)宣传,使公司员工了解(jie)献血(xue)(xue)工作(zuo)的(de)精(jing)神和(he)办法,增(zeng)强自(zi)愿无(wu)偿献血(xue)(xue)的(de)荣誉(yu)感(gan)和(he)责任感(gan)。公司每年(nian)都会响应(ying)政府号召,组织义务献血(xue)(xue)活动。

  (2)党建(jian)活动

  党的(de)十(shi)(shi)(shi)九(jiu)届(jie)五中(zhong)全会是(shi)在“两个一百年(nian)”奋斗(dou)目标(biao)的(de)历史交汇点上(shang)召开的(de)一次重要会议,为贯(guan)彻(che)落实学习(xi)党的(de)十(shi)(shi)(shi)九(jiu)届(jie)五中(zhong)全会精神,公司党支部召开相关会议,集中(zhong)组织(zhi)各级党员(yuan)学习(xi)贯(guan)彻(che)“十(shi)(shi)(shi)四五”规划。

 

  四、未来展望(wang)

  2020 年,公(gong)司(si)在促(cu)(cu)进(jin)(jin)企业可持(chi)续发(fa)展、促(cu)(cu)进(jin)(jin)环境及生(sheng)态(tai)可持(chi)续发(fa)展、促(cu)(cu)进(jin)(jin)社会(hui)可持(chi)续发(fa)展等方面(mian)都作(zuo)了一定(ding)的(de)(de)工作(zuo),履(lv)行(xing)了一定(ding)的(de)(de)社会(hui)责任(ren),但是与利益相关者和(he)受益人期(qi)望值相比仍存在一定(ding)差距,公(gong)司(si)将长(zhang)期(qi)坚持(chi)履(lv)行(xing)社会(hui)责任(ren)的(de)(de)理念和(he)义务(wu),更好地做好各(ge)方面(mian)工作(zuo)。
